We represent private schools, family offices and other for-profit and nonprofit businesses largely in contracting matters such as investment management agreements for pension plans or for family entities, service contract or equipment contracts, joint production agreements in entertainment and the like.

At Ronan Law Group, much of our corporate-related work is centered on employment or service-provider issues, in M&A transactions and other situations involving corporate governance or adjustments to equity arrangements. We have developed significant experience negotiating the terms of LLC operating agreements or corporate shareholders’ agreements to address these concerns.

We are also very experienced dealing with the challenging issues raised by Section 280G of the Internal Revenue Code, relating to so-called “golden parachute” payments to officers and directors. This is an extremely complex and counter-intuitive area that requires considerable thought, both in the context of a pending M&A transaction and, ideally, well before that (at the time of negotiation of employment and equity documents).
